About this draft

These are product-draft terms of use for BuyerGrid's free closed beta. They describe how the software works today. They are not attorney-reviewed, not a production SaaS agreement, and not legal advice. They do not create a finished commercial contract, license grant beyond using the beta, waiver, or jurisdiction-specific filing.

Operator and governing law

The public brand is BuyerGrid (getbuyergrid.com). The brand name is not, by itself, a registered legal entity.

OWNER

Legal entity / operator name

Not established in-repo. Counsel or the founder must name who offers the service before these drafts can be treated as production terms.

OWNER

Governing law and venue

Not established. Do not assume a U.S. state, the United Kingdom, or any other forum from a contact mailing address or from where a founder may live.

Questions: getbuyergrid@gmail.com. Ops / contact mailing address (not a registered-office claim): 19651 N Mitkof Loop, Eagle River, AK 99577.

Eligibility and scope

BuyerGrid is for adult U.S. wholesale real-estate and disposition operators. It is not for homeowners selling a house, not a consumer listing portal, and not a substitute for a broker, attorney, or title company.

Free closed beta

Access is a free closed beta. There is no paid billing UI, no subscription checkout, and no refund policy because no fees are collected in-product. There is no uptime SLA, no availability guarantee, and no promised response time.

Features may change, break, or be withdrawn. We may limit, suspend, or end beta access.

Accounts and organizations

You create an account with Clerk. Authorization inside BuyerGrid uses in-app organizations and memberships, not Clerk Organizations. You must keep your login accurate and set a designated deal-contact before starting introductions. That deal-contact is never inferred from Clerk, your login email, or outreach env vars.

You may invite already-registered users to your organization. The product does not send invite email.

What the service does

In the current product you can:

  • Import or add buyers and create wholesale deals.
  • Generate ranked matches with why chips (deterministic scoring, not an AI ranker).
  • Start a protected introduction: wholesaler agree → buyer accept via a copy-paste link → confirm both sides → open a deal room separately → record room offers → release identity in stages (Masked until release).
  • Draft outreach and record a mock send. Real email sends stay off.
  • Record an outcome as operational evidence, labeled as not a legal closing.

Network matches are masked. BuyerGrid is not a phonebook and does not email introduction or deal-room URLs. Anyone with a raw link can use that gate — treat links like passwords.

Introduction agreement (AC2)

The in-product introduction agreement is a product draft. It is shown with an honest banner and recorded as evidence that both sides clicked accept. It is not attorney-reviewed, not production commercial terms, and not legal advice.

Clicking accept does not create a platform fee, commission, anti-circumvention duty, or other compensation obligation. Those topics are out of the product until counsel writes them. Accepting also does not open the deal room or share contact details.

Outreach

Outreach exists so you can draft and review messages. While real sends are gated off, “send” records a mock. BuyerGrid does not claim CAN-SPAM, TCPA, or licensing compliance from this beta, and it does not email buyers on your behalf today.

Your content

You keep your relationship with the buyer and deal data you upload. You are responsible for having the right to store and use those contacts in BuyerGrid. We host that content to provide the features above. See the Privacy draft for how that data is handled.

Acceptable use

Do not use BuyerGrid to:

  • Violate law, including fair-housing or communications rules that apply to you.
  • Upload contacts you are not allowed to store or market to.
  • Probe other organizations, bypass masking, or scrape the Network as a directory.
  • Interfere with the service, or present BuyerGrid as a licensed brokerage or law firm.

No professional advice

BuyerGrid is software. Matches, why chips, AI drafts, room messages, and outcome labels are operational tools. They are not legal, brokerage, tax, or investment advice, and they are not a closing, assignment, or title product.

Disclaimers

The beta is provided “as is” and “as available.” We do not warrant that matches are complete, that a buyer will perform, or that the service will be uninterrupted or error-free. No SLA applies.

Limitation of liability

This section is product-draft language only — not counsel-approved limitation-of-liability terms. To the fullest extent a later reviewed agreement may allow, BuyerGrid and its operators would not be liable for lost deals, lost profits, or indirect damages from beta use. Do not treat this paragraph as a negotiated commercial cap.

OWNER

Liability cap, indemnities, and insurance

Not established. Counsel should replace this section before any paid plan or high-volume introduction to real buyers.

Termination

You may stop using the beta at any time. We may suspend or delete beta access, including if the product is withdrawn or if use appears to harm other operators or the service.

Changes

We may update this product draft as the product changes. The date at the top is the last product edit, not an attorney-approval date. Material commercial terms require counsel copy.
